The exact services included in any engagement depend on the scope agreed with the client.
2. Project Scope
Every custom project begins with an agreed scope. Depending on the engagement, this may be documented through a proposal, quotation, statement of work, requirements document, email confirmation, invoice, project management system, or signed agreement. The scope may define:
- Features and functionality
- Deliverables
- Platforms
- Design requirements
- Integrations
- Project phases
- Estimated timelines
- Client responsibilities
- Pricing
- Payment milestones
- Support arrangements
- Third-party services
Anything not reasonably included in the agreed scope may be treated as additional work. We believe changes are a normal part of building technology. However, significant changes can affect cost and delivery dates. Where this happens, we will discuss the impact before proceeding with the additional work.
3. Estimates and Project Timelines
Any timeline provided before or during a project is based on the information available at that time. Software and technology projects can involve dependencies that are not always fully predictable at the beginning. Delivery may be affected by factors including:
- Changes in requirements
- Delayed client feedback
- Delayed approvals
- Missing content or assets
- Third-party API changes
- External platform approvals
- Hosting or infrastructure issues
- Hardware availability
- Integration limitations
- Data migration complexity
- Security requirements
- Technical issues discovered during development
We make reasonable efforts to meet agreed timelines, but estimated dates should not automatically be considered guaranteed deadlines unless a specific deadline has been expressly agreed in writing.
4. Client Responsibilities
Successful projects require timely collaboration from both sides. Clients are responsible for providing accurate and complete information required to perform the work. This may include:
- Requirements
- Business rules
- Content
- Brand assets
- Product information
- Images
- Login credentials
- API credentials
- Hosting access
- Domain access
- Server access
- Existing source code
- Technical documentation
- Timely feedback and approvals
The client must have the legal right to provide any materials, data, credentials, software, images, trademarks, content, or other assets supplied to Infroniz. Delays in receiving required information or approvals may result in corresponding changes to the project schedule.
5. Changes and Additional Work
A project sometimes evolves after development begins. Small clarifications that remain within the agreed scope may be handled as part of normal project delivery. However, requests that introduce new functionality, substantial redesigns, additional platforms, additional integrations, new workflows, or other material changes may require a revised estimate. Examples may include:
- New modules
- Additional user roles
- Additional dashboards
- New API integrations
- New payment gateways
- Major design changes after approval
- Additional mobile or web platforms
- Changes to completed workflows
- New automation requirements
- Additional reports
- Data migration not included in the original scope
We will normally communicate significant scope changes before undertaking chargeable additional work.
6. Pricing and Payments
Project pricing and payment terms will be stated in the relevant proposal, quotation, invoice, or agreement. Depending on the project, payment may be structured as:
- An upfront deposit
- Milestone payments
- Monthly billing
- Retainer billing
- Subscription payments
- Time-based billing
- A combination of these methods
Unless otherwise agreed, payments already made for completed work, allocated development resources, purchased services, or completed milestones are generally non-refundable. If an invoice becomes overdue, we may pause development, deployment, support, hosting, or other services until the outstanding amount is resolved. Pausing a project may also affect its original delivery schedule because resources may need to be reassigned.
7. Taxes, Bank Charges and Third-Party Fees
Unless expressly included in a quotation, our fees may not include taxes, banking charges, payment gateway fees, currency conversion charges, government fees, third-party subscriptions, hardware, hosting, domains, licenses, API usage, cloud infrastructure, messaging charges, or other external costs. Where a third-party service is required, we will try to identify it during project planning. Third-party pricing can change independently of Infroniz.
8. Intellectual Property and Source Code
Ownership depends on the nature of the engagement and the applicable project agreement. Unless otherwise agreed in writing, once the client has paid all amounts due for the agreed custom deliverables, the client may receive the rights to the final custom work specifically created and paid for under that project. However, Infroniz retains ownership of its pre-existing intellectual property and reusable materials, including where applicable:
- Internal tools
- Development utilities
- Frameworks
- Generic modules
- Libraries
- Templates
- Reusable components
- Development methods
- Technical know-how
- Processes
- Non-client-specific code
Third-party software, open-source components, fonts, libraries, APIs, stock assets, plugins, or other licensed materials remain subject to their respective licenses. Source-code ownership, repository access, deployment access, and handover requirements may also be specified separately in the project agreement.
9. Portfolio and Project References
Unless confidentiality requirements or a written agreement prevent us from doing so, Infroniz may identify completed work as part of its professional portfolio. This may include the client's name, logo, a general project description, and publicly available screenshots. We will not intentionally publish confidential business information, private credentials, proprietary datasets, or non-public technical information as portfolio material. Clients who require complete confidentiality should communicate this requirement before or during the engagement so it can be documented appropriately.
10. Third-Party Platforms and Integrations
Many technology projects depend on third-party services. These may include:
- Cloud providers
- Hosting companies
- Domain registrars
- Payment gateways
- Messaging platforms
- Email providers
- AI providers
- Social platforms
- Analytics platforms
- App stores
- APIs
- Plugins
- Open-source software
- Hardware manufacturers
- Telecom providers
Infroniz does not control these third parties. A third-party provider may change its pricing, policies, APIs, functionality, approval requirements, availability, security controls, or service terms. We cannot guarantee that a third-party service will remain available or continue operating in exactly the same way. Work required because of significant third-party changes may be considered additional maintenance or development unless otherwise covered by an active support agreement.
11. Hosting, Domains and Cloud Services
Where Infroniz assists with hosting, domains, servers, cloud infrastructure, email, databases, or similar services, some components may be supplied by third-party providers. Unless explicitly included in an ongoing managed-services agreement, the client remains responsible for recurring third-party fees and renewals associated with their infrastructure. Clients should ensure that important domains, hosting accounts, cloud accounts, and business-critical services remain renewed and accessible.
12. AI and Automation Services
Infroniz may develop or integrate solutions using artificial intelligence, machine learning, generative AI, automation tools, or third-party AI services. AI systems are probabilistic and may occasionally produce inaccurate, incomplete, inconsistent, or unexpected results. For this reason, AI-generated output should not automatically be treated as guaranteed factual, legal, medical, financial, or professional advice. Where AI is used for business-critical workflows, appropriate validation, permissions, monitoring, and human review should be considered. Performance may also depend on third-party AI providers whose models, APIs, limits, pricing, or policies can change.
13. Cybersecurity Services
Infroniz may provide cybersecurity, firewall, network security, hardening, assessment, implementation, or related services. No technology provider can reasonably guarantee that a system will never experience a vulnerability, cyberattack, unauthorized access, malware incident, data loss, or security breach. Cybersecurity is an ongoing process involving technology, configuration, monitoring, updates, access management, employee practices, and incident response. Our responsibility is limited to the cybersecurity services specifically included in the agreed scope.
14. CCTV, Networking, Infrastructure and PABX
For physical technology projects, actual performance can depend on environmental and infrastructure conditions. These may include:
- Existing cabling
- Power availability
- Internet connectivity
- Building structure
- Network conditions
- Hardware compatibility
- Camera positioning
- Storage capacity
- Manufacturer limitations
- Telecom services
- Third-party equipment
Hardware warranties may be provided by the relevant manufacturer, distributor, or supplier and may be subject to their individual warranty terms. Any installation warranty offered directly by Infroniz will be defined in the relevant quotation or agreement.
15. Financial Advisory and Consulting
Where Infroniz provides financial advisory or consulting services, the exact nature and limitations of those services will depend on the relevant engagement. Information provided through our website should generally be treated as informational unless a formal advisory engagement states otherwise. Business and financial decisions involve uncertainty and risk. Results cannot be guaranteed simply because analysis, forecasts, recommendations, or consulting services have been provided. Clients remain responsible for their final business, investment, tax, accounting, and financial decisions and should obtain specialist professional advice where appropriate.
16. Data and Confidentiality
During a project, both Infroniz and the client may receive confidential information. We expect both parties to handle confidential information responsibly and to use it only for legitimate purposes connected with the project. Confidential information may include:
- Business strategies
- Credentials
- Customer information
- Financial information
- Internal documents
- Source code
- Technical architecture
- Pricing
- Proprietary processes
- Non-public product information
Additional confidentiality requirements may be documented through a Non-Disclosure Agreement or project-specific contract.
17. Data Protection and Privacy
Where we process personal information, our handling of that information is also subject to our Privacy Policy and any applicable contractual obligations. For systems developed for clients, the client is generally responsible for determining what user information their application collects and ensuring their own business complies with applicable privacy, consent, retention, and regulatory requirements. Where appropriate, privacy and security requirements should be identified during project planning.
18. Testing and Acceptance
We test our work before delivery based on the agreed project scope. Clients are also expected to review deliverables and perform appropriate acceptance testing before approving production deployment. Clients should report material issues within the review or acceptance period defined for the project. Once a milestone or project has been approved, significant changes requested afterward may be treated as new work rather than corrections. A defect means agreed functionality is not operating substantially as specified. A new requirement, changed preference, or additional functionality is not necessarily a defect.
19. Backups and Data
Backup responsibility depends on the services purchased. Where backup management is specifically included in an ongoing service, we will provide it according to the agreed arrangement. Otherwise, clients remain responsible for maintaining appropriate backups of business-critical data, files, databases, credentials, and systems. No backup system should be considered completely immune to technical failure, corruption, human error, cyber incidents, or third-party outages.
20. Support and Maintenance
Unless specifically included in the project agreement, development fees do not automatically include unlimited ongoing support or future development. Post-launch services may be provided through:
- A warranty period
- Maintenance agreement
- Monthly support plan
- Retainer
- Separate quotation
- Hourly or project-based work
Support arrangements may cover bug fixes, updates, monitoring, infrastructure, security maintenance, integrations, enhancements, or new features depending on the agreed plan.
21. Suspension or Termination
Either party may request to end an engagement subject to the applicable project agreement. Infroniz may suspend or terminate services where there is:
- Significant non-payment
- Illegal or abusive use
- Security risk
- Material breach of an agreement
- Repeated failure to provide required project information
- Conduct that makes delivery reasonably impractical
Where a project ends early, the client remains responsible for fees relating to work already completed, committed resources, approved milestones, and non-refundable third-party expenses. Where applicable and once outstanding obligations are resolved, available completed client-owned deliverables may be handed over according to the agreement.
22. Acceptable Use
Our website, systems, software, infrastructure, and services must not be used for unlawful or abusive purposes. You must not knowingly use our services to:
- Break applicable laws
- Distribute malware
- Conduct unauthorized access
- Attack networks or systems
- Steal credentials or data
- Infringe intellectual property
- Facilitate fraud
- Circumvent security controls without authorization
- Abuse third-party platforms
We reserve the right to decline work that creates material legal, security, ethical, or operational risk.
23. Website Information
We aim to keep information on the Infroniz website accurate and useful. However, website content may be updated as our services, technologies, and business evolve. General website information, blog articles, examples, illustrations, case studies, and educational material should not be interpreted as a contractual promise unless specifically incorporated into a written agreement.
24. No Guaranteed Business Results
Technology can improve operations, user experience, automation, scalability, and decision-making, but business results depend on many factors outside our control. Unless specifically guaranteed in writing, Infroniz does not guarantee particular outcomes such as:
- Revenue
- Sales
- Leads
- Search rankings
- Conversion rates
- Cost savings
- Investment returns
- User growth
- Market success
- Funding
- Regulatory approval
Any projections or examples should be understood in their proper context rather than as guaranteed outcomes.
25. Limitation of Liability
To the maximum extent permitted by applicable law, Infroniz will not be liable for indirect, incidental, consequential, special, or similar losses arising from the use or inability to use our website, services, software, or third-party services. This may include loss of profits, business interruption, loss of opportunity, or loss resulting from third-party platform failures. Where liability cannot legally be excluded, any limitation will be subject to applicable law and any specific liability provisions contained in the relevant project agreement. Nothing in these Terms is intended to exclude liability that cannot legally be excluded.
26. Force Majeure
Neither party should be considered responsible for delays caused by circumstances reasonably outside its control. Examples may include major internet or cloud outages, natural disasters, government restrictions, widespread infrastructure failures, war, civil disturbance, major cyber incidents, or other exceptional events that materially prevent performance. The affected party should make reasonable efforts to communicate the situation and resume performance when practical.
27. Changes to These Terms
Our services and the technologies we work with evolve. We may update these Terms and Conditions when necessary to reflect changes to our services, business practices, or legal requirements. The latest version published on our website will show the updated date. Material changes affecting an existing contracted project will not automatically replace specifically agreed project terms unless the relevant agreement allows this.
28. Governing Law and Disputes
These Terms should be interpreted in accordance with the governing law applicable to Infroniz Business & Technology Solutions, unless a separate written agreement establishes different terms for a particular engagement. Where a disagreement occurs, both parties should first make reasonable efforts to resolve the matter through direct communication and good-faith discussion before pursuing formal remedies. Project-specific agreements may contain additional dispute-resolution and jurisdiction provisions.
